Terms of Service

1. Acceptance of Terms

By accessing or using the Mithrilis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years of age to use this Service.

2. Description of Service

Mithrilis is an AI-powered logistics intelligence platform that provides:

  • Workflow automation for logistics operations
  • Document processing and data extraction
  • Knowledge base and operational insights
  • Integration with third-party logistics systems

The Service connects to your existing logistics systems and processes data to provide intelligent automation and insights.

3. Account Registration & Security

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether or not authorized by you
  • Notifying us immediately of any unauthorized access or use

Each organization should maintain a single account. Multiple accounts for the same organization may be consolidated or terminated.

4. Third-Party Accounts

Customer represents and warrants that they have the necessary rights, licenses, and permissions to connect Mithrilis to their third-party accounts (e.g., CargoWise, Magaya, TMS/WMS systems). Customer is solely responsible for complying with the terms of service of such third-party platforms.

4.1 Indemnification

Customer agrees to indemnify, defend, and hold harmless Mithrilis from any claims, damages, losses, or expenses arising from Customer's violation of any third-party platform's terms of service.

4.2 Data Responsibility

The accuracy, completeness, and legality of data retrieved from third-party systems is the sole responsibility of the Customer. Mithrilis does not verify or validate data sourced from connected systems.

4.3 No Endorsement

Mithrilis is not affiliated with, endorsed by, or sponsored by any third-party platform providers. All third-party product names, logos, and brands are property of their respective owners.

5. Subscription & Payment

The Service is offered through a combination of subscription-based and usage-based pricing:

  • Subscription Fees: Monthly or annual fees based on your selected tier
  • Usage-Based Fees: Additional charges based on document processing volume, API calls, or other usage metrics
  • Billing: All fees are billed in advance for subscription components and in arrears for usage-based components

Different tiers provide access to different features, support levels, and usage limits as described in our pricing documentation.

6. Service Level Agreement

Standard and Pro Tiers: Mithrilis will use commercially reasonable efforts to maintain high availability of the Service.

Enterprise Tier: Subject to a separate Enterprise Agreement, Mithrilis commits to 99.9% uptime with service credits for any downtime exceeding this threshold.

Scheduled maintenance windows are excluded from uptime calculations. Mithrilis will provide reasonable advance notice of scheduled maintenance.

7. Intellectual Property

7.1 Customer Data

You retain all ownership rights to your data. By using the Service, you grant Mithrilis a limited license to use your data solely to provide and improve the Service.

7.2 Mithrilis Property

Mithrilis owns all rights to the platform, software, AI models, and related intellectual property. Nothing in these Terms transfers ownership of any Mithrilis intellectual property to you.

7.3 Aggregated Insights

Mithrilis may use aggregated, anonymized data patterns to improve the quality and safety of our models and services. We do not use identifiable customer data for training purposes.

We do not use your data to produce comparative, benchmarking, or peer-ranking outputs offered to any other customer.

8. Fair Use of Intelligence Features

Your subscription includes reasonable commercial use of the platform's AI-powered intelligence query feature, which allows you to interact with your logistics data using natural language. This feature is designed for day-to-day operational use by your team — querying shipment status, investigating exceptions, generating reports, and other activities consistent with normal logistics operations.

8.1 Usage Expectations

We expect usage of the intelligence query feature to reflect genuine operational needs. There are no predefined query limits for normal use. Usage that is consistent with your team size and operational scope is fully covered by your subscription.

8.2 Right to Review

Mithrilis reserves the right to review usage patterns and initiate a conversation with the Customer if usage significantly exceeds normal operational patterns for the Customer's subscription tier and team size. Any such discussion will be collaborative and aimed at understanding your needs.

8.3 Prohibited Uses

The intelligence query feature may not be used for purposes outside of your logistics operations. Prohibited uses include but are not limited to:

  • Running automated scripts or bots against the intelligence query interface
  • Using the feature as a general-purpose large language model proxy unrelated to your logistics data
  • Systematically extracting or reselling AI-generated outputs
  • Providing access to the intelligence query feature to unauthorized third parties

8.4 Remediation

If Mithrilis identifies usage that may violate this section, we will contact the Customer to discuss the matter before taking any action. Continued misuse after discussion may result in throttling of the intelligence query feature or account review under Section 13 (Termination).

9. API Usage

Access to the Mithrilis API is subject to your subscription tier. When using the API, you must:

  • Comply with all rate limits specified in our API documentation
  • Not engage in excessive automated access that burdens our systems
  • Keep API credentials secure and not share them with third parties
  • Use the API only for purposes consistent with these Terms

10. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Resell, sublicense, or provide access to the Service to third parties
  • Attempt to gain unauthorized access to any portion of the Service or related systems
  • Use automated means to access the Service except through our approved APIs

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MITHRILIS'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MITHRILIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL MITHRILIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits or revenue
  • Loss of data or data breaches
  • Business interruption
  • Cost of substitute services

These limitations do not apply to damages arising from gross negligence or willful misconduct by Mithrilis.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mithrilis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your violation of any third-party platform's terms of service
  • Your misuse of the Service
  • Your breach of these Terms
  • Your violation of any applicable laws or regulations

13. Termination

Either party may terminate this agreement with thirty (30) days' written notice. Mithrilis may terminate immediately if you materially breach these Terms.

Upon termination:

  • Your access to the Service will be suspended
  • You will have thirty (30) days to export your data using our data export tools
  • After the export period, your data will be deleted in accordance with our data retention policies

14. Changes to Terms

Mithrilis may modify these Terms from time to time. We will provide at least thirty (30) days' notice of material changes via email to the address associated with your account.

Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Each party shall bear its own costs in any arbitration proceeding.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Mithrilis regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our prior written consent. Mithrilis may assign these Terms in connection with a merger, acquisition, or sale of assets.
